This Trainer Agreement for the Contacts Count Training (the "Agreement") is entered into between Contacts Count LLC with its principal place of business at 1400 East-West Highway, Suite 1228, Silver Spring, MD 20910 USA ("Contacts Count") and

"Trainer Signature" "Organization"
This Agreement applies to all provisionally Certified Trainers (trainers who are in the process of certifying, but have not reached Certification) and Certified Trainers. Hereinafter Provisional Certified Trainers and Certified Trainers will be referred to as "Trainers."
Certification is awarded when a Trainer employed by the Organization listed above completes the following steps:
Completes, signs and submits the Train-the-Trainer Application Form and Training Agreement along with his/her professional Resume and the necessary fees.
Attends the entire Contacts Count Train-the-Trainer experience (Day One: 4 to 8 p.m., Days 2 and 3, 9 to 4:30 p.m.)
Demonstrates competence in delivering the material during the "teachback" portion of the Train-the Trainer workshop.
Agrees to complete, sign and submit to Contacts Count a copy of the Contacts Count "Progress Report" which notifies Contacts Count each time any of the material is taught to any audience.
The Trainer is considered a "Certified Contacts Count Trainer" upon completing the above requirements and will receive a Certificate so stating.
Non-Transferability of Certification: In the event that the Trainer's employment is terminated with the Organization that owns the license and under whose license he or she was trained, this Agreement will become void.The Trainer must return the training materials (hard copy and electronic copy). The Trainer may re-certify as an employee of another organization by signing a new Contacts Count Agreement.
The Training is provided by Contacts Count and includes the words, images, design, online, web-based, and audio segments contained therein using the Contacts Count materials.The Contacts Count Training and all intellectual property and proprietary rights of any kind associated therewith, arising therefrom, and relating thereto, are the sole property of Contacts Count.The training materials are licensed by the Organization sponsoring the Trainer and may only be used by the Trainer currently employed in that Organization.Nothing in this Agreement will transfer any ownership of, or right to retain beyond the term of this Agreement, any materials provided to the Trainer as part of the Trainer's certification or in connection with any Contacts Count Training.
Use of Copyrighted Property
a.Contacts Count Trainers may train only employees within their Organization.
b.Training Materials: Each Trainer must possess print and electronic copies of all the Contacts Count materials, a copy of Make Your Contacts Count (AMACOM, 2nd edition), and a copy of the audio CD Networking Know-How.
c.Program Launches and Internal Marketing:Anne Baber and Lynne Waymon, authors of the materials and Master Trainers, are available for consultation re how to launch and market the Contacts Count approach internally.
d. Any use of the Contacts Count Training or any related materials or proprietary information outside of the parameters set forth in this Agreement will be deemed a material breach of this Agreement, is in violation of copyright law, and may be litigated.
e.Contacts Count reserves the right to contact the Trainer for the purpose of trainer development.Contacts Count requires that the Trainer fill out a "Progress Report" each time any material is used.
f.Failure to comply with this Agreement upon signing or any time thereafter (as determined by Contacts Count in its sole discretion) may result in the revocation of the Trainer's Certification.
g.To keep the Certification current, the Organization must pay your Licensure Fee annually no later than the last day of the calendar month in which you were trained.
